1. Introduction

Welcome to Arc Studio LLC ("Company", "we", "our", or "us").

These Terms of Service ("Terms") govern your use of ProHeadshot.ai and related services (the "Service") operated by Arc Studio LLC.

Our Privacy Policy and Acceptable Use Policy also govern your use of the Service. The Privacy Policy explains how we collect, safeguard, and disclose information that results from your use of the Service, and the Acceptable Use Policy explains content and safety rules for using ProHeadshot. By using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, you may not use the Service. If you have questions, contact us at support@proheadshot.ai.

2. Communications

By creating an account or using the Service, you agree to receive service-related communications from us. We may also send product information, offers, or other materials that may be of interest to you. You may opt out of marketing communications by following the unsubscribe link or emailing support@proheadshot.ai. We may still contact you about critical matters such as account access, payments, security, or similar issues.

3. Purchases

If you purchase any product or service through the Service ("Purchase"), you may be asked to provide information relevant to your Purchase, including payment method information, billing address, and other payment-related details.

You represent and warrant that you have the legal right to use any payment method you provide, and that the information you provide is true, correct, and complete.

We may use third-party services for payment processing, including Stripe, PayPal, and Creem. By submitting payment information, you authorize us to provide that information to third-party payment processors subject to our Privacy Policy.

We reserve the right to refuse or cancel any order at any time for reasons including but not limited to product or service availability, pricing errors, suspected fraud, unauthorized transactions, illegal transactions, or other reasons.

4. Subscriptions, Free Trials, and Fee Changes

Some parts of the Service may be billed on a subscription basis. Subscription fees may be billed in advance on a recurring basis depending on the plan you select.

At the end of each billing cycle, your Subscription may automatically renew unless you cancel it or we cancel it. You may cancel through your account or through the relevant payment management page.

We may offer free trials at our sole discretion. If billing information is required for a free trial, you may be charged when the free trial ends unless you cancel before the end of the trial period.

We may modify fees at any time. For Subscriptions, fee changes will take effect at the end of the current billing cycle, and your continued use of the Service after the change becomes effective means you agree to pay the modified fee.

5. Refunds

Except when required by law, paid Purchases and Subscription fees are non-refundable. At our sole discretion, we may provide a refund within 7 days after you receive your generated headshots if you are not satisfied with the results, have not downloaded any paid output, and contact us at support@proheadshot.ai with the order email and a brief description of the issue. We may also make exceptions for specific service issues at our sole discretion.

6. Content

You may provide photos, image inputs, text inputs, preferences, and other materials to the Service ("Input"), and receive generated headshots or other outputs from the Service based on that Input ("Output"). Input and Output are collectively "Content."

You are responsible for your Content, including ensuring that you have all rights, licenses, and permissions needed to provide Input to the Service and that your Content does not violate applicable law or these Terms.

As between you and Arc Studio LLC, and to the extent permitted by applicable law, you retain ownership rights in your Input and own your Output. We assign to you all our right, title, and interest, if any, in and to your Output.

By providing Content through the Service, you grant us the right to use, store, process, reproduce, and display that Content only as reasonably necessary to operate, provide, maintain, and improve the Service, comply with law, and enforce these Terms.

We do not use uploaded User photos to train AI models. We do not publicly display User images or generated outputs unless the User gives explicit consent.

We reserve the right, but not the obligation, to monitor, remove, or restrict Content that we determine violates these Terms or applicable law.

7. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You agree not to use the Service:

(a) in any way that violates any applicable law or regulation;

(b) to exploit, harm, or attempt to exploit or harm minors;

(c) to generate or disseminate false, misleading, harmful, abusive, defamatory, obscene, or unlawful content;

(d) to upload, request, generate, or disseminate NSFW, sexually explicit, adult, pornographic, nude, erotic, or sexually suggestive content;

(e) to impersonate any person or entity;

(f) to infringe upon the rights of others, including privacy, publicity, copyright, trademark, or other intellectual property rights;

(g) to upload or generate content involving a person without the rights or permission needed to do so;

(h) to interfere with or disrupt the security, integrity, or performance of the Service;

(i) to attempt to gain unauthorized access to any part of the Service, accounts, systems, or networks;

(j) to use automated tools, scrapers, or bots to access or copy the Service without our prior written consent;

(k) for any unlawful, illegal, fraudulent, or harmful purpose.

8. Accounts

When you create an account, you represent and warrant that you are at least 18 years old and that the information you provide is accurate, complete, and current.

You are responsible for maintaining the confidentiality of your account and password, including restricting access to your computer or account. You agree to accept responsibility for all activities that occur under your account.

You must notify us immediately if you become aware of any breach of security or unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, remove or edit Content, or cancel orders at our sole discretion.

9. Intellectual Property

The Service and its original content, features, functionality, design, software, and technology are and will remain the exclusive property of Arc Studio LLC and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Arc Studio LLC.

10. Copyright Policy

We respect the intellectual property rights of others. If you believe that Content available through the Service infringes copyright or other intellectual property rights, please contact us at support@proheadshot.ai with details sufficient for us to review your claim.

11. Error Reporting and Feedback

You may provide us with feedback, suggestions, ideas, or error reports concerning the Service ("Feedback"). You agree that we may use Feedback for any purpose without obligation or compensation to you.

12. Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by Arc Studio LLC.

We have no control over and assume no responsibility for the content, privacy policies, or practices of third-party websites or services. We strongly advise you to read the terms and privacy policies of any third-party websites or services you visit.

13. Disclaimer of Warranty

The Service is provided on an "as is" and "as available" basis. Arc Studio LLC makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the Service, or the information, content, or materials included therein.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected.

14. Limitation of Liability

To the fullest extent permitted by law, Arc Studio LLC and its officers, directors, employees, agents, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of or inability to use the Service.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, at our sole discretion, for any reason, including if you breach these Terms.

If you wish to terminate your account, you may discontinue using the Service or contact us at support@proheadshot.ai.

All provisions of these Terms that by their nature should survive termination will survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law

These Terms are governed by and construed in accordance with the laws applicable to Arc Studio LLC, without regard to conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

17. Changes to the Service

We reserve the right to withdraw or amend the Service, and any service or material we provide through the Service, at our sole discretion without notice.

We will not be liable if all or any part of the Service is unavailable at any time or for any period.

18. Changes to These Terms

We may update these Terms from time to time by posting the updated Terms on this page. We may also provide notice by email or through a prominent notice on the Service before a change becomes effective.

By continuing to use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.

19. Waiver and Severability

No waiver by Arc Studio LLC of any term or condition set forth in these Terms will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

If any provision of these Terms is held by a court or other tribunal to be invalid, illegal, or unenforceable, such provision will be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.
